1. About MS Grafiq

MS Grafiq provides digital and creative services including website design and development, application development, graphic design, branding, UI/UX design, digital marketing, animation, advertising, search engine optimization, and other related digital services.

The exact services, deliverables, pricing, timelines, and project requirements for each client may be defined separately through a quotation, proposal, invoice, package description, written agreement, or other communication between MS Grafiq and the client.

2. Acceptance of Terms

By using this website or purchasing services from MS Grafiq, you confirm that you have read, understood, and agreed to these Terms & Conditions.

If you are entering into an agreement on behalf of a business, organization, or company, you confirm that you have authority to accept these terms on its behalf.

3. Services

MS Grafiq provides services according to the scope, features, deliverables, and requirements agreed upon with the client.

The client is responsible for reviewing the project scope before work begins. Any feature, functionality, design, content, integration, or service not included in the agreed scope may be treated as additional work and may require additional charges.

4. Quotations and Pricing

Prices displayed on our website or provided through quotations may vary depending on project requirements, complexity, features, integrations, content, revisions, and delivery requirements.

Unless otherwise stated, a quotation is based on the information available at the time it is prepared. If the project requirements change after the quotation has been approved, MS Grafiq may revise the price and project timeline accordingly.

Custom quotations may have a validity period stated in the quotation or proposal.

5. Payments

Payment terms may vary depending on the type and size of the project. MS Grafiq may require full payment, an advance payment, milestone payments, or another agreed payment structure before or during a project.

Work may not begin until the required initial payment has been received.

Remaining balances must be paid according to the agreed payment schedule. MS Grafiq may pause development, delivery, publication, transfer, or support if an outstanding payment remains unpaid.

6. Project Requirements and Client Responsibilities

The client is responsible for providing accurate information and all materials reasonably required to complete the project.

These materials may include:

• Logos and branding files
• Text and website content
• Images, videos, and graphics
• Product or service information
• Hosting and domain access
• API credentials
• Third-party platform access
• Payment gateway information
• Business and contact information
• Feedback and project approvals

Delays in providing required information, content, credentials, feedback, or approvals may result in delays to the project timeline.

7. Project Timelines

Any project timeline or estimated delivery date provided by MS Grafiq is based on the agreed project scope and the timely cooperation of the client.

Timelines may be affected by changes in project scope, delayed client feedback, missing content, third-party service issues, technical complications, additional feature requests, or other circumstances outside our reasonable control.

Unless specifically agreed in writing, estimated delivery dates should not be considered guaranteed completion dates.

8. Revisions

The number of revisions included in a project depends on the selected package, quotation, or agreed project scope.

Revisions generally refer to reasonable modifications to work already completed within the original project scope.

A revision does not include creating an entirely new concept, changing the original project direction, adding new pages, adding new functionality, changing an approved design structure, or introducing requirements that were not part of the original agreement.

Requests outside the original scope may be quoted separately.

9. Client Approval

Clients may be asked to approve designs, content, functionality, development stages, or other project deliverables during the project.

Once a stage has been approved and work has continued to the next stage, significant changes to previously approved work may result in additional charges and additional development time.

It is the client's responsibility to carefully review all information before giving final approval.

10. Content and Materials Provided by the Client

The client confirms that they have the legal right to use all text, logos, trademarks, photographs, videos, graphics, documents, fonts, software, and other materials supplied to MS Grafiq.

MS Grafiq is not responsible for copyright, trademark, licensing, ownership, or other legal claims arising from materials supplied or specifically requested by the client.

The client is responsible for obtaining any required licenses or permissions for third-party materials they provide.

11. Third-Party Services

Some projects may depend on third-party services such as hosting providers, domain registrars, payment gateways, APIs, plugins, themes, software platforms, email providers, social media platforms, analytics tools, or external integrations.

MS Grafiq does not control these third-party services and cannot guarantee their availability, performance, pricing, security, policies, or continued functionality.

Any fees charged by third-party providers are the client's responsibility unless otherwise agreed in writing.

12. Domains and Hosting

Where domain registration or hosting is provided or managed as part of a project, renewal costs may apply separately.

The client is responsible for paying applicable renewal charges before their due dates unless an ongoing hosting or maintenance agreement states otherwise.

MS Grafiq is not responsible for service interruption, website suspension, data loss, or domain expiration caused by unpaid third-party renewal fees, hosting provider failures, or matters outside our reasonable control.

13. Website and Software Maintenance

Unless specifically included in the purchased package or agreed separately, ongoing website maintenance, software updates, security monitoring, backups, content updates, plugin updates, server management, and technical support are not automatically included after project completion.

Ongoing maintenance or support may be provided under a separate agreement or service package.

14. Intellectual Property

Upon full payment of all amounts due for a project, the client may receive ownership or usage rights to the final approved deliverables as specified in the project agreement.

Third-party software, plugins, themes, fonts, stock media, libraries, frameworks, APIs, and other licensed materials remain subject to the licenses and ownership rights of their respective providers.

MS Grafiq retains ownership of its internal tools, reusable code, development methods, processes, techniques, templates, libraries, know-how, and pre-existing intellectual property unless specifically agreed otherwise in writing.

15. Portfolio and Promotional Use

Unless otherwise agreed in writing, MS Grafiq may display completed or publicly launched work in its portfolio, website, presentations, social media, case studies, or other promotional materials.

Confidential information will not knowingly be published as part of promotional use.

16. Confidentiality

MS Grafiq will take reasonable measures to protect confidential business information provided by clients during a project.

Confidential information does not include information that is already publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

Where a separate Non-Disclosure Agreement has been signed, the terms of that agreement will also apply.

17. Refunds and Cancellations

Refund eligibility depends on the service purchased, work already completed, project stage, selected package, and any refund terms specifically agreed with the client.

Once work has started, amounts relating to completed work, resources used, third-party expenses, administrative costs, or project time already spent may be non-refundable.

Any money-back guarantee specifically included with a service or package will be subject to the conditions associated with that particular offer.

If a client cancels a project after work has begun, MS Grafiq may charge for work completed up to the cancellation date and for any non-refundable third-party expenses incurred on behalf of the client.

18. Project Inactivity

If a project becomes inactive because the client does not provide required information, content, access, feedback, approval, or communication for an extended period, MS Grafiq may place the project on hold.

Restarting an inactive project may be subject to revised timelines, availability, or additional charges where significant time has passed or project requirements have changed.

19. Final Delivery

Final files, website access, source files, credentials, application builds, or other deliverables will be provided according to the agreed project scope.

MS Grafiq may withhold final delivery, deployment, transfer, or administrative access until all outstanding project payments have been received.

20. Errors and Testing

MS Grafiq makes reasonable efforts to test websites, applications, integrations, and digital products before final delivery.

The client is also responsible for reviewing and testing the final deliverables and reporting any issues within a reasonable period after delivery.

Issues caused by third-party updates, client modifications, server changes, malware, hosting configuration, unsupported software, or changes made after delivery may require additional paid support.

21. Search Engine Optimization and Marketing Results

Where MS Grafiq provides SEO, advertising, marketing, or social media services, we may use professional strategies intended to improve visibility, traffic, engagement, or business performance.

However, MS Grafiq does not guarantee specific rankings, sales figures, leads, revenue, follower growth, engagement levels, advertising performance, or other particular results because these outcomes depend on factors outside our direct control.

22. Limitation of Liability

To the maximum extent permitted by applicable law, MS Grafiq will not be liable for indirect, incidental, special, consequential, or business losses arising from the use of our website or services.

This may include loss of profits, revenue, business opportunities, data, customers, website traffic, or interruption caused by third-party platforms, hosting providers, software, integrations, cyber incidents, or circumstances outside our reasonable control.

Nothing in these Terms & Conditions excludes liability that cannot legally be excluded under applicable law.

23. Website Availability

We aim to keep the MS Grafiq website available and functioning correctly, but we do not guarantee uninterrupted or error-free access.

We may temporarily restrict or suspend access for maintenance, updates, security reasons, technical issues, or circumstances outside our control.

24. Prohibited Use

You may not use our website or services for unlawful, fraudulent, abusive, harmful, or unauthorized purposes.

You must not attempt to:

• Gain unauthorized access to our systems or accounts

Any outstanding payment obligations existing before suspension or termination will remain payable.

You agree to receive informational and promotional SMS messages from Ms Grafiq, including appointment reminders, account notifications, service updates, consultation follow-ups, and promotional offers. Message frequency varies. Message and data rates may apply. For help, reply HELP or email info@msgrafiq.com. You can opt out at any time by replying STOP. Consent is not a condition of purchase.

27. Changes to These Terms

MS Grafiq may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or legal requirements.

Updated terms will be published on this page along with a revised "Last Updated" date where appropriate.

28. Governing Terms

These Terms & Conditions, together with any applicable quotation, proposal, invoice, service agreement, project agreement, or other written terms accepted between MS Grafiq and the client, form the basis of the service relationship.

Where project-specific written terms conflict with general terms on this page, the specifically agreed project terms may apply to that particular project.
